Terms of Service

1. Agreement to Terms
These Terms of Service (“Terms”) govern access to and use of the Acklix platform, APIs, and related interfaces (the “Service”). By accessing or using the Service, you agree to these Terms.
2. Definitions
- “Service” means the Acklix platform, APIs, and related interfaces provided online by Acklix.
- “Workspace” means an account container with users, roles, and billing.
- “User Content” means data, prompts, files, credentials, and materials you or your users provide or connect to the Service.
- “Connected Services” means third-party services or accounts you link to the Service (for example, files, APIs, mailboxes, or databases).
- “Actions” means automations or code you configure that execute using your instructions or credentials.
- “Interfaces” means ways your users interact with the Service, including web, widgets, chat, email, or API.
- “Outputs” means content generated by the Service from prompts and/or User Content.
- “End Users” means individuals you permit to interact with your Interfaces, automations, or Outputs through the Service.
- “Credits” means metered units tied to usage (such as tokens, requests, storage, or execution time).
3. Accounts and Roles
Maintain accurate account information and restrict access to authorized individuals. Workspace owners control billing and legal consents. You are responsible for all activity under your Workspace.
4. Access to the Service
Subject to these Terms and timely payment of applicable fees, Acklix grants a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your own purposes, personal or commercial, including to build and provide Interfaces and automations to your End Users. You may not operate or offer a competing platform that substantially replicates the Service, resell or sublicense the Service except through features we provide, or use the Service in violation of the Acceptable Use Policy.
5. Acceptable Use
Comply with our Acceptable Use Policy. Do not interfere with metering or rate limits; bypass isolation or security controls; misuse Connected Services; send spam or unlawful communications; or deploy the Service in high-risk settings (such as life support or emergency services) without a separate written agreement.
6. Connected Services and Credentials
Linking Connected Services confirms you have rights to do so. You authorize Acklix to access and act on your behalf within those services as instructed through the Service. Access can be revoked in the Service. Acklix may suspend or limit connections that present security or legal risk.
7. Actions and Automation
Actions execute based on your configuration and may read or modify Connected Services or send messages. Acklix implements isolation and safety controls but does not guarantee prevention of all exploits or misuse. You are responsible for consequences of Actions you configure, including messages sent, API usage, and data changes, and for the acts and omissions of your End Users.
8. User Content, Outputs, and Intellectual Property
You retain ownership of User Content. You grant Acklix a limited license to host, process, transmit, and display User Content and Outputs as necessary to operate the Service, provide support, ensure security, and comply with law. Subject to rights of third parties, you may use Outputs for your business or personal purposes. Acklix does not claim ownership in Outputs and does not use User Content to train models without your explicit opt-in in product or a separate written agreement.
9. Model and Output Limitations
Outputs may be incomplete, inaccurate, or unsuitable for reliance without human review. The Service does not provide professional advice. Evaluate Outputs before use where accuracy matters.
10. Usage Measurement and Credits
Usage may be metered by factors including tokens, requests, storage/embeddings, execution time, and Action calls. Credits represent prepaid usage units and are consumed as usage occurs. Overages and seat limits are described in plan details in the Service.
11. Fees, Billing, and Taxes
Fees for subscriptions, seats, and metered usage are displayed in the Service. Charges are processed by our payment processor. You are responsible for applicable taxes. For refunds, credits, and adjustments, see the Refund Policy.
12. Data Retention and Deletion
- Context/Knowledge deletion: deletion is immediate.
- Conversation deletion: retained for up to 60 days then permanently deleted.
- Logs and telemetry: retained for up to 3 months then deleted.
- All other user-initiated deletions: performed immediately.
13. Privacy
Personal data practices are described in the Privacy Policy.
14. Third-Party Services and Dependencies
The Service relies on third-party providers (including model providers and infrastructure). Their availability or changes may affect the Service. Acklix is not responsible for outages or performance issues attributable to third-party providers.
15. Beta and Preview Features
Features labeled Beta/Preview/Labs may be unstable, may not be supported, and may be changed or removed at any time. They are provided “as is.”
16. Suspension and Termination
Acklix may suspend or terminate access for non-payment, security or legal risk, policy violations, or misuse. Upon termination, access ends. Data deletion follows Section 12.
17. Warranties and Disclaimers
The Service is provided on an “as is” and “as available” basis, without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
18. Limitation of Liability
To the maximum extent permitted by law, Acklix will not be liable for any indirect, incidental, consequential, special, or exemplary damages, or for lost profits, revenues, data, or use. Acklix’s total liability for any claim relating to the Service will not exceed the amounts paid for the Service in the 12 months preceding the event giving rise to liability.
19. Indemnification
You will defend, indemnify, and hold harmless Acklix from claims arising out of User Content, Actions, Connected Services, End Users, or violations of these Terms. Acklix will defend you against third-party claims that the unmodified Service infringes intellectual property rights and will pay resulting damages and costs finally awarded, provided you promptly notify Acklix and cooperate in the defense. This does not apply to claims arising from your modifications, configurations, or content.
20. Government, Export, and Sanctions
Comply with applicable export control and sanctions laws. Do not use the Service in embargoed jurisdictions or for prohibited end uses.
21. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Courts in India have exclusive jurisdiction unless otherwise agreed in writing.
22. Changes to the Service or Terms
Acklix may modify the Service or these Terms. Updated Terms will be posted with a revised date. Material changes are notified in advance where practicable and take effect upon the next renewal or continued use after the effective date.
23. Notices
Formal notices must be sent to the contact in your billing profile or to legal@acklix.com. Operational notices may be delivered in-app or by email.
